Terms of Service

TowingOS · Carlyle Acquisition LLC d/b/a Legacy Tow Group · Effective September 1, 2026

1. Scope

These terms govern use of TowingOS (the “Platform”), the internal operating system of Carlyle Acquisition LLC d/b/a Legacy Tow Group and its affiliated operating companies. The Platform is private business software. It is not offered to the public and there is no public sign-up. By signing in you agree to these terms.

2. Who may use it

Access is granted by Legacy Tow Group to named individuals — employees, officers and contractors of the company and its affiliates, and advisors we expressly invite (lenders, accountants, our equity sponsor). Accounts are personal and must not be shared. Access may be modified or revoked at any time, and ends automatically when your engagement with the company ends.

3. Acceptable use

  • Use the Platform only for legitimate business purposes of Legacy Tow Group.
  • Do not attempt to access data outside the modules your role permits.
  • Do not export, copy or transmit company data to any destination not authorized by the company.
  • Do not probe, scan, reverse engineer or interfere with the Platform or its connected systems.
  • Protect your credentials and report any suspected compromise to lshively@legacytowgroup.com immediately.

4. Company data and confidentiality

All data in the Platform — financial, operational, customer, vendor and personnel — is confidential information of Legacy Tow Group and its affiliates. You must keep it confidential during and after your engagement, and use it only as your role requires. Nothing in these terms transfers ownership of any data or of the Platform to you.

5. Connected third-party systems

The Platform reads data from third-party systems the company subscribes to, including QuickBooks Online and QuickBooks Desktop, dispatch, telematics, CRM, payroll, corporate card, email and file storage. Your use of those systems remains subject to their own agreements with the company. Connecting or disconnecting a system is an administrative action limited to authorized administrators. QuickBooks and Intuit are trademarks of Intuit Inc.; Legacy Tow Group is not affiliated with or endorsed by Intuit Inc.

6. Privacy

Our handling of data, including data read from QuickBooks, is described in the Privacy Policy, which forms part of these terms.

7. Availability

The Platform is provided for internal convenience. We do not commit to any uptime, and we may change, suspend or discontinue any part of it without notice. Reports and figures presented in the Platform are management information; the books of record remain the company’s accounting systems.

8. No warranty

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Carlyle Acquisition LLC d/b/a Legacy Tow Group AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING OUT OF USE OF THE PLATFORM.

10. Termination

We may suspend or terminate access at any time. Sections 4, 8, 9 and 11 survive termination.

11. Governing law

These terms are governed by the laws of State of Delaware, without regard to its conflict-of-laws rules.
